1. Introduction

This licensing policy sets forth the terms and conditions under which [licensor name] (hereinafter referred to as "Licensor") will grant to [licensee name] (hereinafter referred to as "Licensee") a non-exclusive, non-transferable license to use the Licensor's "Integrated Business and Financial Studies" (hereinafter referred to as the "Licensed Material").

2. Definitions

For the purposes of this licensing policy, the following terms shall have the following meanings:

  • "Licensed Material" means the Licensor's "Integrated Business and Financial Studies", which includes all of the following:
    • The Licensor's copyrighted text, images, and other materials in the Licensed Material;
    • The Licensor's trademarks and service marks in the Licensed Material; and
    • The Licensor's trade secrets in the Licensed Material.
  • "License Fee" means the one-time fee paid by Licensee to Licensor in exchange for the license to use the Licensed Material.

3. Grant of License

Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the Licensed Material for the following purposes:

  • To teach the Licensed Material to students in a classroom setting;
  • To create and distribute course materials based on the Licensed Material; and
  • To use the Licensed Material for internal research and development purposes.

4. Restrictions on Use

Licensee shall not:

  • Reproduce, distribute, or sell the Licensed Material in any form or by any means;
  • Use the Licensed Material for any commercial purposes other than those expressly permitted in this licensing policy;
  • Remove or alter any copyright notices or other proprietary markings on the Licensed Material; or
  • Disclose the Licensed Material to any third party without Licensor's prior written consent.

5. License Fee

Licensee shall pay to Licensor a License Fee of $[amount] in exchange for the license to use the Licensed Material. The License Fee is payable in full within 30 days of the execution of this licensing agreement.

6. Term and Termination

This licensing agreement shall commence on the date it is executed by both parties and shall continue in effect for a period of one (1) year. Either party may terminate this licensing agreement at any time upon 30 days' written notice to the other party.

7. Governing Law
